These Terms govern your access to synvia.pro and any related services provided by Synvia Pro. By using the site or engaging with us, you agree to these Terms. If you are using the site on behalf of a company, you confirm you have authority to bind that company.

Fees and payment
Fees, invoicing schedules, and payment terms are set out in the applicable proposal or statement of work. Unless stated otherwise, invoices are due upon receipt. You are responsible for applicable taxes (excluding taxes on our income). We may pause work for overdue invoices.
Confidentiality
Each party will protect the other party's confidential information and use it only for the purposes of the engagement. This obligation does not apply to information that is public, received from a third party without duty, independently developed, or required to be disclosed by law.
Intellectual property
- Site content, marks, and materials created by Synvia Pro remain our property or that of our licensors.
- For paid engagements, and subject to full payment, we grant you a non-exclusive, worldwide license to use the deliverables for your business purposes.
- We may reuse know-how, templates, and non-confidential learnings developed while working with you, so long as we do not use your confidential information.
Disclaimers
The site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and course of performance. We do not guarantee specific business results.
Limitation of liability
To the fullest extent permitted by law, Synvia Pro is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability arising out of or related to these Terms is limited to the amounts you paid to us for services in the six months before the claim arose.
Indemnification
You agree to indemnify and hold Synvia Pro and its team harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the site, your breach of these Terms, or your violation of law or third-party rights.
Termination
We may suspend or terminate access to the site at any time, including when you violate these Terms. Sections intended to survive termination (such as confidentiality, intellectual property, and limitations of liability) will continue to apply.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. The courts located in Delaware will have exclusive jurisdiction for any disputes arising from these Terms, and you consent to their venue.
